Service availability and specific terms are subject to agreement between Haldane and the client. Services are provided in accordance with individual engagement agreements that detail scope, deliverables, timeline, and fees.

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

4. User Responsibilities

• Late Payment: Overdue accounts may incur interest charges of 1.5% per month (18% annually)

7. Confidentiality

• Confidentiality obligations continue after engagement completion

8. Disclaimers

• Haldane shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• This includes damages for lost profits, revenue, data, or business opportunities
• Our total liability for any claim shall not exceed the fees paid by the client for the specific service giving rise to the claim
• We are not liable for delays or failures resulting from circumstances beyond our reasonable control

Some jurisdictions do not allow certain limitations of liability. In such cases, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Haldane, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these terms, or infringement of any third-party rights.

11. Termination

Either party may terminate a consulting engagement as specified in the applicable service agreement. Generally:

• Clients may terminate with written notice, subject to payment for work completed
• We may terminate for non-payment, breach of terms, or material change in circumstances
• Certain obligations survive termination, including confidentiality and payment obligations

We reserve the right to suspend or terminate website access for violations of these terms.

12. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of Ontario, Canada, without regard to conflict of law principles.

Any disputes arising from these terms or our services shall be resolved as follows:

• Informal Resolution: Parties agree to first attempt good-faith informal resolution
• Mediation: If informal resolution fails, disputes may be submitted to mediation
